Mo Terms of Use

1. Introduction
These Terms of Use (the “Terms”) govern your access to and use of Mo, operated by ADB Technologies LLC (“Mo,” “we,” “us,” or “our”). These Terms apply to Mo’s mobile applications (iOS and Android), web application, and related services (collectively, the “Service”). By
accessing, downloading, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
2. Eligibility and Accounts
2.1 You must be at least 18 years of age and a resident of the United States to use the Service.
2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.3 Mo reserves the right to suspend, modify, or terminate any account or access at its discretion, with or without notice.
3. Roles and Responsibilities
3.1 The Service provides distinct user roles:
(a) Arbiter: A user with administrative control over a fund or “Moment.”
(b) Contributor: A user who contributes funds or media to a Moment.
(c) Recipient: A user who receives access to a fund or Moment upon release.
3.2 Mo reserves the right to modify or redefine user roles at any time.
4. Financial Services and Fund Management
4.1 Mo partners with regulated financial institutions to manage user funds and may change such partners at any time.
4.2 Funds contributed by users are held for the benefit of designated Recipients. Arbiter users maintain administrative rights until release.
4.3 Mo manages pooled funds and retains discretion over investment and administration while
funds remain in the Mo system.
4.4 Mo does not guarantee investment performance or returns.
5. Content and Intellectual Property
5.1 Users retain ownership of their uploaded content. By submitting content, users grant Mo a perpetual, worldwide, royalty-free, and transferable license to use, host, reproduce, distribute, display, and modify such content.
5.2 Mo owns all rights, title, and interest in its trademarks, software, and intellectual property.
5.3 Users may not copy, reverse-engineer, or distribute any part of the Service.
6. Data and Privacy
6.1 Mo collects, stores, and uses data from user activity, including personal, behavioral, and financial data.
6.2 Mo may share data with third-party service providers (e.g., payment processors, communication vendors) for operational purposes.
6.3 Mo may use data internally for analytics, personalization, and product development.

7. User Conduct
7.1 Users must not:
(a) Use the Service for unlawful or fraudulent purposes;
(b) Upload offensive or infringing content;
(c) Attempt to compromise or disrupt Service functionality.
7.2 Mo may restrict or remove content at its discretion.
8. Service Modifications
8.1 Mo may modify, suspend, or discontinue any part of the Service at any time without notice.
8.2 Mo is not liable for any loss arising from Service interruptions or changes.
9. Disclaimers and Limitation of Liability
9.1 The Service is provided “as is” without warranties of any kind.
9.2 To the fullest extent permitted by law, Mo disclaims all liability for indirect, incidental, or consequential damages.
9.3 Users’ sole remedy is to discontinue use of the Service.
10. Indemnification
10.1 Users agree to indemnify and hold harmless Mo and its affiliates from any claims or expenses arising from their use of the Service or violation of these Terms.
11. Governing Law and Dispute Resolution
11.1 These Terms are governed by the laws of the State of Tennessee.
11.2 Any disputes shall be resolved by binding arbitration in Tennessee under the rules of the American Arbitration Association.
11.3 Each party shall bear its own costs unless otherwise required by law.
12. Termination
12.1 Users may stop using the Service at any time.
12.2 Mo may terminate or suspend access at its discretion for any violation of these Terms.
12.3 Provisions intended to survive termination shall remain in effect.
13. Updates to Terms
13.1 Mo may revise these Terms at any time.
13.2 Updated versions will be posted on the Mo website and app.
13.3 Continued use constitutes acceptance of the revised Terms.
